5. Third-Party Platforms and Services

VUELA's services may involve or depend on third-party platforms, software, hosting providers, advertising networks, social media platforms, domain registrars, CRM providers, payment processors, analytics providers, email providers, SMS providers, or other technology companies.

These services are operated independently from VUELA and may be governed by their own terms, policies, pricing, technical limitations, approval processes, and account requirements.

VUELA does not control third-party platforms and cannot guarantee their availability, continued functionality, approval decisions, policies, pricing, or performance.

Changes made by a third-party provider may require adjustments to services, campaigns, integrations, websites, or workflows.

6. Advertising Services

When VUELA manages or assists with advertising, campaign performance may be affected by factors outside VUELA's control, including competition, market demand, advertising platform decisions, bidding conditions, audience behavior, client budgets, landing pages, pricing, offers, geographic markets, and changes to platform algorithms or policies.

Advertising platforms may review, restrict, suspend, reject, or require verification of accounts, advertisements, payment profiles, businesses, or other materials.

Unless specifically stated otherwise in a written agreement, advertising spend paid to advertising platforms is separate from VUELA's management fees.

7. SEO and Search Visibility

Search engine optimization is affected by numerous factors, including search engine algorithms, competition, website condition, content, market demand, location, user behavior, and changes made by search platforms.

VUELA does not guarantee specific rankings, positions, traffic levels, indexing timelines, leads, sales, or other particular search results.

Search engines and other discovery platforms may change their algorithms, policies, interfaces, and ranking systems at any time.

8. No Guarantee of Marketing Results

Marketing performance depends on many factors outside VUELA's control.

Unless expressly agreed otherwise in writing, VUELA does not guarantee any specific number of:

  • Website visitors
  • Search rankings
  • Leads
  • Phone calls

CRM systems and automated workflows may perform actions based on configurations, triggers, integrations, data, and third-party services.

Clients remain responsible for their use of their CRM, contact data, messaging, campaigns, and customer communications, including obtaining any consent or permissions required for their business activities.

VUELA does not guarantee uninterrupted operation of third-party CRM, email, SMS, automation, integration, or communication platforms.

11. Email and SMS Communications

By providing contact information and requesting communications from VUELA, you may receive communications related to your inquiry, account, project, transaction, consultation, or requested services.

Marketing communications may be sent where permitted and in accordance with applicable requirements.

You may unsubscribe from VUELA marketing emails using the unsubscribe method included in applicable messages.

If you consent to receive SMS messages, message frequency may vary and message and data rates may apply.

Consent to receive marketing text messages is not a condition of purchasing VUELA services.

12. Payments and Billing

Certain VUELA services may require an initial payment, deposit, recurring payment, subscription, installment schedule, advertising budget, or other payment arrangement.

Pricing and payment schedules may be stated in the applicable proposal, invoice, checkout page, service agreement, or other written arrangement.

Clients are responsible for amounts they authorize and for maintaining a valid payment method when recurring billing has been authorized.

Failure to make required payments may result in delayed work, suspension of services, withholding of deliverables where permitted, or termination of services in accordance with the applicable agreement.

13. Cancellations and Refunds

Cancellation, refund, and termination terms may vary depending on the service or product purchased.

Any service-specific cancellation or refund terms displayed during purchase or included in a proposal, invoice, subscription, or written agreement will apply to that purchase.

Unless otherwise required by law or expressly stated in writing, payment for work already performed, completed milestones, third-party expenses, advertising spend, purchased software, domains, hosting, or other non-recoverable costs may not be refundable.

14. Intellectual Property

The VUELA website and VUELA-created branding, copy, graphics, educational materials, resources, templates, designs, and other original content are protected by applicable intellectual property laws.

Unless permission is provided or another agreement applies, you may not reproduce, distribute, sell, republish, modify, or commercially exploit VUELA-owned materials without authorization.

Ownership and usage rights for custom client work will be determined by the applicable proposal, service agreement, license, or other written arrangement between VUELA and the client.

15. Client-Provided Materials

Clients may provide VUELA with logos, photographs, videos, text, trademarks, account access, data, or other materials for use in connection with their services.

By providing those materials, the client represents that they have the rights or authorization necessary for VUELA to use them for the applicable project.

Clients remain responsible for the legality and accuracy of materials and claims they provide.

16. VUELA Resources and Educational Content

VUELA may publish articles, guides, templates, checklists, educational materials, marketing resources, videos, tools, or other informational content.

These materials are provided for general educational and informational purposes and may not be appropriate for every business or situation.

Educational materials do not constitute legal, tax, accounting, financial, or other regulated professional advice.

You remain responsible for evaluating whether information or strategies are appropriate for your business.

17. Digital Products, Memberships, and Subscriptions

VUELA may offer paid digital resources, memberships, subscriptions, templates, educational materials, or other digital products.

Additional pricing, access, renewal, cancellation, licensing, or usage terms may be presented when those products are purchased.

Access to subscription or membership content may end when the applicable subscription or membership ends unless otherwise stated.

18. Account Security

If access to a VUELA service or resource requires an account, you are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account.

You should notify VUELA if you believe unauthorized access to a VUELA-managed account has occurred.

19. External Links

The VUELA website or resources may contain links to websites, services, applications, or content operated by third parties.

VUELA does not control and is not responsible for the content, availability, security, policies, or practices of third-party websites or services.

20. Website and Service Availability

We work to maintain reliable services, but we do not guarantee that the VUELA website or any service will be available without interruption, delay, technical issue, or error.

Maintenance, updates, security events, internet failures, third-party outages, platform changes, or other circumstances may temporarily affect availability.

21. Disclaimer of Warranties

To the extent permitted by applicable law, the VUELA website, resources, and general informational content are provided on an “as is” and “as available” basis.

VUELA does not make warranties regarding uninterrupted availability, error-free operation, specific business outcomes, or the suitability of general website information for every individual circumstance.

Nothing in these Terms excludes warranties or protections that cannot legally be excluded.

22. Limitation of Liability

To the extent permitted by applicable law, VUELA will not be liable for indirect, incidental, special, consequential, or similar damages arising from use of the website, general resources, third-party platforms, or circumstances outside VUELA's reasonable control.

Any additional limitations applicable to paid client services may be stated in the applicable service agreement.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

23. Indemnification

To the extent permitted by applicable law, you agree to be responsible for claims, losses, or expenses arising from materials you provide to VUELA, your unlawful use of the website or services, your violation of third-party rights, or your material violation of these Terms.

Additional indemnification obligations may be established in a separate client agreement where applicable.

24. Suspension or Termination

VUELA may suspend or terminate access to services, resources, accounts, or website features when reasonably necessary because of nonpayment, misuse, security concerns, unlawful activity, violation of applicable terms, or other material issues.

Client service termination rights and obligations may also be governed by the applicable service agreement.

25. Governing Law

Unless another written agreement states otherwise or applicable law requires otherwise, these Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law principles.

26. Changes to These Terms

VUELA may update these Terms periodically to reflect changes to our website, services, business practices, technology, or legal requirements.

When these Terms are materially updated, the Last Updated date at the top of this page will be revised.

Your continued use of the website after updated Terms become effective is subject to the updated Terms to the extent permitted by applicable law.

27. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

28. Entire Agreement

These Terms, together with any policies or terms expressly incorporated by reference, govern general use of the VUELA website and offerings.
